Terms and Conditions

1. INTRODUCTION & USER AGREEMENT

These terms and conditions (“Agreement”) set forth the general terms and conditions governing your use of the “ShowKonnect” application (“Application” or “Service”) and any of its related products and services (collectively, “Services”). This Agreement constitutes a legally binding contract between you (“User”, “you”, or “your”) and the developer of the Application (“ShowKonnect”, “we”, “us”, or “our”).

By accessing and using the Application and Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement, including any policies, guidelines, or supplemental terms incorporated by reference.

If you are accepting this Agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity. In such cases, “User”, “you”, or “your” shall refer to that entity. You acknowledge that this Agreement has the same force and effect as a signed, written contract and governs your legal relationship with ShowKonnect. This Agreement forms a contract between you and ShowKonnect, even if it is electronic and not physically signed, governing your use of the Application and Services.

2. DEFINITIONS

In this Agreement, the following capitalized terms have the meanings specified:

1. “Account” means a user account created through registration on the Application.
2. “Agreement” means these Terms and Conditions, together with all related policies, guidelines, and supplemental terms.
3. “Application” or “Services” means the ShowKonnect application and associated software, technologies, and functionalities, including all products, services, and features offered through the ShowKonnect application.
4. “Arbitration”: A private dispute resolution process submitted to an arbitrator, whose decision is legally binding.
5. “Booking”: The reservation or securing of a Performer’s time for services provided through ShowKonnect.
6. “Client”:means any User seeking to engage a Performer through the Application.
7. “Confidential Information” means any non-public information disclosed by one party to another, whether oral, written, electronic, or otherwise, that is designated as confidential or that reasonably should be understood to be confidential, including but not limited to business operations, pricing, strategies, personal data, and trade secrets.
8. “Content” means any data, text, graphics, audio, video, photographs, or other materials uploaded, posted, transmitted, or otherwise made available by Users on or through the Services.
9. “Dispute” means any conflict arising between a Client and a Performer, or between a user and ShowKonnect, or between a performer and ShowKonnect.
10. “Escrow Account” means the designated payment holding account where Client funds are deposited and held in trust until release in accordance with Escrow Instructions.
11. “Escrow Instructions” means the terms governing how payments are deposited, held, and released through the escrow system.
12. “Intellectual Property Rights”: All legal rights related to copyrights, trademarks, patents, designs, inventions, and other related rights, including the right to enforce or sue for infringement.
13. “Non-Circumvention” means the prohibition against Users bypassing ShowKonnect to transact directly in order to avoid fees or obligations.
14. “Performance”: An event or service for which a Performer is booked.
15. “Performer”: Any artist, musician, actor, director, producer, or entertainer registered on the platform to provide services for a fee.
16. “Profile” means the User’s public-facing page on the platform containing information about the User.
17. “Register” / “Registration”: The process of creating an Account on the Application.
18. “Service Contract” means the legally binding engagement between a Client and a Performer, formed through the platform, including the Booking details, Escrow Instructions, and any additional terms agreed between the parties.
19. “User”or “Users”: All individuals or entities using the Application, including both Clients and Performers.

3. ACCOUNTS & MEMBERSHIP

ShowKonnect reserves the right to review, verify, approve, or reject new Accounts prior to activation and to suspend or terminate any Account that provides false, misleading, or incomplete information. When you create an Account, you are solely responsible for safeguarding your credentials and any activities under your account. You agree to immediately notify ShowKonnect of any unauthorized use or suspected breach of your Account. We will not be liable for any damages resulting from unauthorized activities on your account.

If We determine that your account or activity harms our reputation or breaches this Agreement, we may suspend or delete your account. Re-registration may be allowed at our discretion. We may block your email or IP address to prevent further account creation in case of misuse or violations.

To access most features of the Application, you must register an Account.Visitors may access limited portions of the Application without registration. ShowKonnect reserves the right to decline registration for lawful reasons, including operational considerations or business needs. You may only open two accounts on the platform, one as a Client and a Performer. If you create multiple accounts, we may delete them and impose additional penalties that might restrict you from rejoining the platform. If you are creating an Account on behalf of a company, you represent that you are authorized to bind that entity to this Agreement.

By registering an Account or using the Services, you represent and warrant that: You are of legal age to enter into binding agreements;You represent a legally registered business or are acting as an authorized agent of such a business; You will use the Services for lawful and legitimate business purposes only; You comply with licensing and other regulatory requirements relevant to your services; If you are registering on behalf of a company or organization, you have authority to bind that entity to this Agreement. You must create a User profile (“Profile”) as part of the registration process. Your Profile will be visible to other Users and to the public unless you modify your privacy settings. All information provided on your Profile must be accurate, truthful, and up to date. You must promptly correct any inaccurate or misleading information. False or misleading profiles may result in account suspension or termination.

Users may open an Account as a Client, a Performer, or both. Each User may maintain only one Account per role type. Multiple or duplicate Accounts without ShowKonnect’s written consent may be suspended or terminated. Team or business Accounts may be opened, provided that the registering individual or entity is duly authorized.

By creating an Account, you authorize ShowKonnect to verify your identity and business information through third-party services or official documents. Verification may involve checking government-issued identification, business licenses, or validating your email or financial accounts. During the verification process, certain features of your account may be temporarily restricted. Full access will be restored upon successful verification. Failure to provide requested documentation may result in account suspension or termination.

You may authorize others to use your account, such as employees or agents, provided they act on your behalf. You may open an account on behalf of a team or group. Provided that the information given at the point of opening the account are in accordance with guidelines. You remain fully responsible for all actions taken under your account, including payment obligations and service contracts. If any authorized user violates this Agreement, it may impact your access to the Services.

Upon account closure, all linked or associated accounts may also be closed at our discretion. Termination of an account does not affect any outstanding obligations, fees, or liabilities incurred prior to closure.

You are responsible for maintaining the confidentiality of your username and password. You must not share your login credentials with anyone unless they are authorized to act on your behalf. You authorize us to assume that anyone using your credentials is either you or someone authorized by you. Notify us immediately if you suspect unauthorized use of your account or a breach of security.

You may not use another User’s credentials to access the Services without proper authorization.

4. USER CONTENT

We do not own any data, information, or material (collectively, “Content”) that you submit to the ShowKonnect Application while using the Service. You are solely responsible for the accuracy, quality, integrity, legality, reliability, and appropriateness of all contents submitted by you. You as well retain ownership of the intellectual property rights you hold in such submitted Content to the extent that you had such intellectual property right immediately before submission and do not assign such rights afterwards..

We may, but are not obligated to, monitor and review the Content submitted or created using our Services. You grant us permission to access, copy, distribute, store, transmit, reformat, display, and perform the Content solely to provide the Services to you. However, we reserve the right to remove any Content that, in our reasonable opinion, violates these terms or is harmful or objectionable.

You grant us a non-exclusive license to use, reproduce, adapt, modify, publish, or distribute Content created or stored in your user account for commercial, marketing, or promotional purposes, provided such use complies with applicable laws.

5. LICENSE TO USE MATERIAL

When you upload text, images, audio, videos, or other materials (“Material”) via the Application, you confirm that you own the Material or have obtained the necessary authorization to use, reproduce, and distribute it. You grant us a global, royalty-free, non-exclusive license to use the Material to promote products and services available on the ShowKonnect platform.

6. CONTENT ON THE APPLICATION AND SERVICES

You are responsible for ensuring that any products, services, or information available through ShowKonnect meet your specific requirements before making payments.

ShowKonnect does not guarantee the accuracy, reliability, or completeness of information provided by clients or performers and shall not be held liable for any financial loss, misrepresentation, or dispute arising from interactions or transactions between users on the Platform

7. LINKS TO OTHER RESOURCES

The ShowKonnect Platform may contain links to third-party websites, applications, or services for informational, promotional, or affiliate purposes. These links are provided solely for convenience and do not constitute an endorsement, sponsorship, or recommendation by ShowKonnect.

You acknowledge and agree that your access to or interaction with any third-party resource is at your own risk, and ShowKonnect is not responsible or liable for the availability, accuracy, content, products, or services offered by such third parties.

We strongly advise you to review the terms of service, privacy policies, and practices of any external website or service before engaging with or providing personal information to them.

8. ESCROW PAYMENT

Payments between clients and performers are managed through an escrow system. Once a client makes a payment, funds will be held in escrow and released upon successful completion of the undertakings under the contract, subject to fees and taxes.

If a client bypasses escrow by paying a performer directly, ShowKonnect is not liable for any disputes or losses that may arise. Contracts between clients and performers will be governed by applicable escrow instructions, which may be updated from time to time without prior notice.

The performer can request the release of funds upon completing the work. If the client agrees, funds will be released. If the client disputes the quality of the work, they must raise a dispute in the portal, initiating a resolution process. Once the client authorizes the release of funds, the action becomes irrevocable, and the charge is non-refundable.

Both clients and performers acknowledge that once payment has been deposited into escrow, unilateral cancellation or repudiation of the contract may result in penalties or forfeiture of certain amounts, as determined under the applicable escrow terms

9. CHARGES

A 1.4% processing fee will be deducted by ShowKonnect from every payment made into escrow by the client. In addition, a Value Added Tax (VAT) of 7.5% will be applied to all transactions processed through the Platform, in accordance with applicable tax laws.

We will charge a 5% commission on every accepted contract, deducted at the point of payment for the service. All charges are non-refundable.

10. REFUNDS AND CANCELLATIONS

All payments made through ShowKonnect are subject to the terms of the applicable service or project agreement. Refunds are available only where a payment was made in error, the service was not delivered, or where both parties mutually agree to cancel a transaction before completion.

Requests for refunds must be submitted in writing to Us within three days of the original transaction. We reserve the right to review and approve refund requests at its sole discretion.

For payments held in escrow, refunds will be processed according to the escrow company’s rules and procedures, and funds will be released only when all contractual or escrow conditions are met subject to applicable cancellation fees or deductions.

Platform fees, Services fees, processing fees, and other administrative charges are non-refundable

If a performer cancels, the client may choose to either (a) receive a refund of the escrowed amount, less the 6.4% commission and applicable escrow processing fee, or apply the escrowed funds toward hiring another performer through ShowKonnect.

If a client cancels, the performer will be entitled to payment for any work completed up to the time of cancellation, as mutually agreed or verified through the Platform. Any remaining balance in escrow will be refunded to the client, less the 6.4% commission and applicable escrow processing fee.

11. TAXES

ShowKonnect may collect and remit applicable taxes, including VAT and withholding taxes, on behalf of relevant authorities. Where applicable, the designated escrow company may also deduct or withhold taxes from membership fees, contract payments, or other transactions processed through the Platform in compliance with applicable tax regulations. Users are solely responsible for ensuring their own compliance with local tax obligations and for reporting any income or payments received through the Platform to the appropriate tax authorities.

12. DISPUTE RESOLUTION

This Agreement shall be governed by the laws of Nigeria. In the event of a dispute between the client and performer, both parties are encouraged to resolve the matter amicably.

If the dispute concerns fees or refunds, ShowKonnect’s legal team will assist in resolution. If either party is dissatisfied with the outcome, the dispute will proceed to arbitration by a jointly appointed arbitrator. ShowKonnect will comply with the arbitrator’s decision. Each party will share the costs of arbitration equally. Once arbitration commences, ShowKonnect will provide documentation upon request, but will no longer be actively involved in the dispute resolution.

13. PROHIBITED USES

You shall not use ShowKonnect for any unlawful purposes, including but not limited to: Violating local, national, or international laws and regulations; Engaging in fraudulent or abusive activities, harassment, or discrimination; Transmitting viruses, malware, or harmful code; Uploading defamatory, obscene, or offensive content; Using automated tools such as bots to scrape or crawl data; Overloading our systems or interfering with the platform’s functionality. We reserve the right to suspend or terminate accounts that engage in prohibited activities.

14. NON-CIRCUMVENTION

You agree not to use the ShowKonnect platform or any information obtained through it to circumvent, bypass, or avoid the intended functionality, agreements, or obligations established by ShowKonnect. This includes, but is not limited to, attempting to directly engage with other users, partners, or service providers outside of the platform to avoid fees, commissions, or contractual terms.

Any attempt to circumvent these provisions may result in the suspension or termination of your account, and ShowKonnect reserves the right to take any other legal or equitable actions necessary to enforce this clause.

15. INTELLECTUAL PROPERTY RIGHTS

This Agreement does not grant you any ownership rights over ShowKonnect’s intellectual property. All trademarks, service marks, logos, and copyrighted material used on the platform are owned by ShowKonnect or the respective third parties who offer their services on the platform. Your use of the platform without more grants no license or right to reproduce such intellectual property without authorization.

By submitting, uploading, posting, or otherwise making any content available on ShowKonnect (including but not limited to text, images, videos, feedback, or other materials), you retain ownership of your content but grant ShowKonnect a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly display, and perform such content for the purpose of operating, promoting, and improving the Platform and its services.

You represent and warrant that you own or hold the necessary rights and licenses to the content you submit, and that such content does not infringe, misappropriate, or violate any third-party rights, including intellectual property, privacy, or publicity rights.

ShowKonnect reserves the right, but not the obligation, to review, monitor, or remove any content at its sole discretion if it believes such content violates these Terms, applicable laws, or the rights of others.

16. LIMITATION OF LIABILITY

To the extent permitted by law, ShowKonnect shall not be liable for: direct, indirect, incidental, or consequential damages, arising from the use of the Platform or Services; Errors,  omissions, downtime, delays, or interruptions in the operation or availability of the Platform; Issues arising from third-party resources linked to or integrated with ShowKonnect.

In no event shall ShowKonnect’s total liability to you for all claims arising under or related to these Terms exceed the total amount, if any, paid by you to ShowKonnect for the use of the Platform during the twelve (12) months preceding the event giving rise to the claim. This limitation applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise, and even if ShowKonnect has been advised of the possibility of such damages.

The Platform and all content, and Services made available through ShowKonnect are provided on an “as is” and “as available” basis, without any warranties of any kind, whether express or implied. Your use of ShowKonnect is at your own risk, and any damages resulting from reliance on the platform are your responsibility.

17. INDEMNIFICATION

You agree to indemnify and hold harmless ShowKonnect and its affiliates, employees, and agents from any claims, liabilities, or damages arising from your use of the platform, violation of these terms, infringement of third-party rights, or fraud, misrepresentation, or willful misconduct by you in connection with your use of the Services

18. SEVERABILITY

If any provision of this Agreement is deemed unenforceable or invalid, such provision shall be struck out and the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced with a valid and enforceable provision that comes closest to expressing the intent of the original provision.

19. CHANGES AND AMENDMENTS

We reserve the right to modify or amend these Terms and Conditions at any time without prior notice. Any changes or amendments shall be effective immediately upon posting on our website. Your continued use of our services after such changes constitutes your acceptance of the modified or amended Terms and Conditions.

20. ACCEPTANCE OF TERMS

By accessing or using the ShowKonnect platform, you agree to be bound by these Terms and Conditions. If you do not agree to these Terms and Conditions, you must discontinue access or use of the platform immediately.

21. NOTICES

All notices, communications, and other documents required or permitted to be given under this agreement shall be sent by email to your registered email. Such notice shall be deemed to have been given twenty-four (24) hours after it has been sent.You are responsible for keeping your contact details up to date and responding promptly to notices from ShowKonnect.

22. DATA PROTECTION

We are committed to ensuring the safety and security of all Users of our platform. We take all reports of misconduct or suspicious activity seriously and reserve the right, at our discretion, to disclose or volunteer relevant information to third parties, including law enforcement, regulatory, governmental, or judicial bodies, where required by applicable law or regulation, or where such disclosure is deemed necessary to protect our Users, our platform, or the public interest.

We comply with all applicable data protection laws and regulations, including the Nigeria Data Protection Regulation (NDPR) and any other relevant data privacy frameworks governing the collection, use, and disclosure of personal data.

 We collect personal data that is necessary for providing our services, improving user experience, and complying with legal requirements. Personal data may include, but is not limited to:

1. Contact information - name, email address, phone number, and mailing address.
2. Usage data - IP addresses, device information, browsing activities, and interaction with our services.
3. Transaction data-  card details, billing information, payment method, transaction history, and other financial data.
4. Other voluntarily provided data: any additional information provided by the user when engaging with our services, surveys, or customer support.

Why we collect your data

1. To deliver, maintain, and improve our services.
2. To personalize user experience and provide targeted content.
3. To process transactions and manage billing information.
4. To comply with legal and regulatory obligations and enforce our terms.
5. To communicate with you about our services.
6. To analyse and understand user behaviour.
7. To protect our rights and interests.

We implement rigorous technical, administrative, and physical security measures to protect personal data from unauthorized access, alteration, disclosure, or destruction.

Data is stored securely in data centres within the applicable jurisdictions, in line with legal requirements regarding data residency. By using our services, you consent to the transfer and storage of your information in these jurisdictions. 

Personal data is encrypted both in transit and at rest to ensure its confidentiality. Access to personal data is restricted to authorized personnel only, based on a need-to-know basis. We may retain personal data only for as long as necessary to fulfil the purposes for which it was collected, or as required by law.

Please note that while we implement industry-standard security measures, no system can guarantee absolute protection of your information 

We ensure that user data is processed in compliance with relevant privacy laws. Our processing activities include:

1. Legal basis for processing: We process personal data based on valid legal grounds, including user consent, contractual obligations, compliance with legal requirements, and legitimate business interests.
2. User rights: In accordance with the NDPR and similar regulations, users have the right to access, correct, delete, and restrict the processing of their personal data. Users may also object to the processing of their data or request data portability where applicable.
3. Automated decision making and profiling: We limit the use of automated decision-making and profiling to instances where it is necessary for the provision of our services and permitted by applicable law

We do not share personal data with third parties except as follows:

1. Service Providers: Third-party vendors and contractors who assist us with services such as payment processing, customer support, and analytics. All vendors are contractually obligated to comply with our data protection standards.
2. Legal Obligations: We may disclose personal data to comply with legal requirements, respond to regulatory inquiries, or protect the rights and safety of our users or the public.

23. TERMINATION

You may terminate your account at any time by providing written notice to us or by using the account deactivation option in your account settings. Once your account is terminated, your access to the platform will end immediately, and any pending transactions, data, or services linked to your account may be cancelled or forfeited in line with our applicable policies. Please note that no refunds or credits will be issued for partial billing periods unless otherwise stated in these Terms.

ShowKonnect reserves the right to suspend or terminate any account for violation of these Terms & Conditions, including but not limited to misuse of the platform, fraudulent activity, misrepresentation, engagement in any illegal activity, infringement of intellectual property rights, breach of confidentiality, or any action that may compromise the integrity, security, or reputation of the platform, its users, or its operations.

We may, at our sole discretion, terminate a User’s account without cause by providing at least thirty (30) days’ prior notice to the User’s registered email address. In such instances, we will make reasonable efforts to provide alternative arrangements or, where applicable, issue a pro-rata refund for any prepaid but unused services.

Upon termination, the User’s access to the account and platform services will be disabled. ShowKonnect may, at its discretion, retain or delete any content associated with the User’s account in accordance with its data retention and data privacy policies

ShowKonnect may update, pause, or stop some or all of our services from time to time, either temporarily or permanently. Where possible, we’ll give you advance notice. ShowKonnect isn’t responsible for any impact this may have on you or others, except where required by law.

24. FORCE MAJEURE

We shall not be held liable for any delay, disruption, or failure in the operation or availability of this website or any of its services arising from circumstances beyond our reasonable control. Such circumstances include, but are not limited to, Internet or network outages, server failures, system errors, cyberattacks, denial-of-service attacks, technical malfunctions, power interruptions, maintenance work, acts of government, or any other event that prevents or limits access to the website or services provided.

Upon the occurrence of a Force Majeure Event, ShowKonnect’s obligations under this agreement shall be suspended for the duration of the Force Majeure Event. ShowKonnect will make reasonable efforts to notify affected parties and resume its obligations as soon as the Force Majeure Event subsides. We shall make commercially reasonable efforts to provide alternative performance options or resume services promptly, subject to the nature of the Force Majeure Event.
